# Terms of Service — Lux Glass Inc.

These Terms of Service (“Terms”) govern the relationship between Lux Glass Inc. (“Lux Glass,” “we,” “us,” or “our”) and you (“you,” “the client”) whenever you request a quote, schedule a site visit, place an order, or have us complete an installation. They also govern any ongoing warranty work after an installation is complete.
Please read these Terms carefully. Where something specific to your project is in your written quote or contract, the quote or contract prevails over any general statement in these Terms.

## Acceptance
By requesting a quote, booking a templating appointment, signing a quote, paying a deposit, or otherwise instructing us to proceed with work, you confirm that you have read these Terms and agree to be bound by them. If you are agreeing on behalf of a household, a landlord, a builder, or a company, you confirm that you have authority to do so.

## Quotes
Quotes are issued in writing — by email or as a printed document handed over at a site visit. Each quote sets out the scope of work, the glass specification, the hardware list, the labour included, applicable taxes, and the total price.
– **Quote validity:** Quotes are valid for 30 days from date of issuance.
– **What is included:** Unless the quote states otherwise, the total includes glass, standard hardware, labour, site cleanup of our own work, and Ontario HST at 13%.
– **What is not included unless stated:** Specialty hardware finishes, custom millwork or framing alterations, repairs to existing substrates (drywall, tile, stone), electrical or plumbing work, removal and disposal of an existing enclosure, and delivery of glass to addresses outside our standard service area.
– **Pricing may change** if the specifications change after the quote is issued, if site conditions discovered during templating are materially different from those described in the original site visit, or if more than thirty days pass between the quote date and the order confirmation. We will notify you in writing of any price change before fabrication begins.

## Templating and measurement
Quoted dimensions are based on a first site visit or on dimensions you have provided. Final fabrication is based on the templated dimensions taken once rough work is complete.
– **Final measurements are taken during templating.** Glass is cut from the templated dimensions, not from the quoted dimensions. Small differences between the two are normal.
– **Tolerance:** Standard residential frameless work is held to a tolerance of approximately three millimetres. Tighter tolerances may apply to specific configurations and will be confirmed in writing where relevant.
– **Site readiness is the client’s responsibility.** Before templating, the substrate must be set and level (tile, stone, drywall, or other finish must be complete in the areas the glass will touch). Adjacent electrical and plumbing rough-in must be finished where it affects the glass anchor points. If the site is not ready on the templating date, we may need to reschedule and a return-visit fee may apply.

## Payment terms
– **Deposit:** A deposit of 50% of the quoted total is due upon project acceptance, with the balance due upon completion. The deposit secures your place in the fabrication and install schedule and covers material ordering.
– **Balance:** Balance is due in full upon project completion and prior to final inspection sign-off.
– **Accepted payment methods:** E-transfer, cheque, and major credit cards.
– **Invoices:** Each invoice is itemized and shows HST separately at the Ontario rate of 13%.
– **Late payment:** Invoices unpaid more than thirty days after the invoice date may accrue interest at 2% per month (24% per year) on the outstanding balance.

## Change orders
If you want to change the specification after the quote has been signed — different glass thickness, different hardware finish, an added panel, a different anchor location — the change must be confirmed in writing through a change order.
– A change order will set out the revised scope, the price impact, and any schedule impact.
– Glass that has already been cut to the original specification cannot be reused and is non-refundable.
– Material lead times reset when a change order is issued, which may push the installation date.

## Cancellations
If you need to cancel an order:
Once an order is officially placed (signed quote and deposit received), cancellation requested 24 hours or more after the order date results in forfeiture of 30% of the project total. This covers supplier deposits, scheduling commitments, custom material orders, and administrative time. Cancellations made within 24 hours of order placement receive a full deposit refund less any third-party transaction fees already incurred.
– **If we cancel:** In the rare case that we are unable to complete a project we have accepted, any deposit you have paid for work not yet started will be refunded in full.

## Warranty
Every Lux Glass installation comes with a five-year workmanship warranty, signed by the owner at handover.

The written warranty terms prevail over any verbal representations made during a quote or site visit.

## Limitation of liability
To the maximum extent permitted by Ontario law:
– Our total liability for any claim arising out of or related to a Lux Glass installation is limited to the value of the affected installation work — that is, the amount you paid us for the specific work that gave rise to the claim.
– We are not liable for indirect, consequential, incidental, special, or punitive damages, including loss of use, loss of business, loss of profits, loss of rental income, cost of alternative accommodation, or damages claimed against you by third parties.
– Nothing in these Terms limits our liability for personal injury caused by our negligence, for fraud, or for any other liability that cannot be limited or excluded under Ontario law.

## Indemnification
Each party will indemnify the other for losses, damages, and reasonable legal costs arising from that party’s own negligence, wilful misconduct, or material breach of these Terms. This mutual indemnification does not extend to losses caused by the other party’s own actions.

## Insurance
Lux Glass carries commercial general liability insurance and WSIB coverage for our crew. Certificates of insurance and WSIB clearance certificates are available on request — contact details are below.

## Governing law and jurisdiction
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario. Any dispute arising out of or related to these Terms or to a Lux Glass installation is subject to the exclusive jurisdiction of the courts of the Province of Ontario.

## Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

## Entire agreement
Together with the written quote or contract for your specific project, these Terms set out the entire agreement between you and Lux Glass with respect to the work described in that quote. They supersede any prior verbal discussion or written correspondence on the same subject.

## Changes to these Terms
We may update these Terms from time to time to reflect changes in our services, our payment processes, or applicable law. Material changes will be posted on this page with a revised effective date. The Terms that apply to your project are the ones in effect on the date you signed your quote, unless you and Lux Glass agree in writing to apply a newer version.
